
The Board will establish an audit committee and a remuneration
committee. The audit committee will meet at least twice each
year and is responsible for ensuring the integrity of the
financial information reported to shareholders and internal
control systems. This committee, which will be chaired by
the Chairman and include John Watkins provides an opportunity
for reporting by the Company’s auditors. The remuneration
committee, which will be chaired by the Chairman and includes
John Watkins and Robert Weicker will meet at least once each
year to determine the terms of employment and total remuneration
of the executive Directors, including the granting of share
options or participation in other incentive schemes. The objective
of this committee is to attract, retain and motivate executives
capable of delivering the objectives of the Company.
The Company will ensure, in accordance with and subject to
the provisions of Rule 21 of the AIM Rules, that the Directors
and applicable employees shall not deal in any of the Ordinary
Shares during a close period (as defined in the AIM Rules)
and will take all reasonable steps to ensure compliance by
the Directors, and applicable employees with this Rule 21.
Andrew Bell,
MA, LLB, Chairman Andrew
Bell began his career as a natural resources analyst at Morgan
Grenfell & Co. in the 1970s. His business experience encompasses
periods in fund management and advisory work at leading financial
institutions, international corporate finance work, and private
equity. Andrew Bell’s listed company directorships are
Regency Mines plc (Chairman), Greatland Gold plc (Chairman),
and Ormonde Mining plc (Director).
Kenneth Watson, Managing Director
Ken Watson is a mining entrepreneur and prospector with over
40 years of experience. He has held numerous operational and
supervisory roles in the mining industry, and founded Kenroc
Mining and Engineering Pty Ltd, an industrial and mining equipment
importer and distributor. Co-founder of the Golden Kilometre
gold mine at Mt Pleasant near Kalgoorlie, Ken Watson has been
active in recent years in mineral exploration, and is Managing
Director of Regency Mines plc, a company listed on AIM, and
Chairman of Redstone Metals Pty Ltd.
John Watkins, FCA, Non-executive
Director
John Watkins is a chartered accountant and a former partner
of Ernst & Young and Neville Russell. He is a director
of Starvest plc, a substantial shareholder of Regency Mines
plc, the Company’s controlling shareholder, and also
of Regency Mines plc. Both Starvest plc and Regency Mines
plc are listed on AIM. He is Chairman of Lisungwe plc, a mineral
exploration company listed on Ofex.
Robert Weicker, BSc, PGeo, Non-executive Director
Robert Weicker has over 25 years in the mineral exploration
and mining industry, from greenfield exploration to production.
He worked early in his career with Noranda, and then with
Lac Minerals, becoming Chief Geologist of the Williams Mine,
the largest gold mine in Canada, in 1988. His experience since
includes development of zinc and gold mines, serving as director
of several junior Canadian companies, and authoring feasibility
and valuation reports. He is currently President and CEO of
Silver Quest Resources Ltd. Michael
Nott, BSc, MSc, FIMMM, FIQ, FMES, Director
Michael Nott brings 34 years of geological, engineering and
management experience to the company, including ten for Roan
Consolidated Mines and other companies in the Zambian mining
industry. He moved into the management of aggregate quarrying
operations and then to senior roles in the aggregate and industrial
minerals sectors, for companies including ARC Southern Ltd
and Hills Aggregates Ltd. He is currently CEO of private company
Magyar Mining plc, and Managing Director of AIM-listed Alba
Mineral Resources plc.
